Terms and Conditions

These Terms and Conditions govern access to and use of VOTERA SERVICES, including voting, ticketing, nomination, registration and related event technology services.

Thank you for using VOTERA SERVICES. These Terms and Conditions govern your access to and use of the VOTERA SERVICES website, online voting platform, ticketing services, nomination services, event technology solutions and other services provided by VOTERA SERVICES collectively referred to as the “Services.”

Please read these Terms and Conditions carefully. By accessing, registering for, purchasing or using any of our Services, you acknowledge that you have read, understood and agreed to be bound by these Terms and Conditions.

If you do not agree with any part of these Terms and Conditions, you must not use our Services.

1 About VOTERA Services

VOTERA SERVICES is a digital solutions company providing technology-enabled services for individuals, organizations, institutions, brands, associations, schools, event organizers and other entities.

Our Services may include:

  • Online voting and election management;
  • Online ticketing and ticket sales management;
  • Nomination and registration platforms;
  • Event registration and attendee management;
  • Digital engagement solutions;
  • Vote counting and results management;
  • Digital event technology solutions; and
  • Other related technology services agreed between VOTERA SERVICES and its clients.

VOTERA SERVICES provides the technology and infrastructure required to facilitate these services.

Unless expressly agreed in writing, VOTERA SERVICES does not determine the winners, nominees, eligibility of participants, event rules or final outcome of an election, competition, award scheme or event.

2 Definitions

For purposes of these Terms:

“VOTERA SERVICES”, “VOTERA”, “we”, “us” or “our”

means VOTERA SERVICES and its authorized representatives.

“Client”, “Owner” or “Event Organizer”

means an individual, business, organization, institution, brand or entity that engages VOTERA SERVICES to provide any of the Services.

“Participant”

means any person who uses the Platform to vote, purchase a ticket, register, submit a nomination or participate in an event or activity.

“Platform”

means the VOTERA SERVICES website, applications, APIs, software, systems, dashboards and other digital infrastructure used to provide the Services.

“Content”

means text, images, logos, videos, documents, audio, candidate information, event information, voting information, ticket information and any other material submitted or uploaded to the Platform.

3 How the Services Work

Clients may use the Platform to create and manage voting campaigns, ticketing campaigns, nominations, registrations and other digital activities.

For voting services, participants may cast votes through the payment and voting options made available by VOTERA SERVICES.

For ticketing services, participants may purchase tickets through the available payment channels and receive electronic or other forms of ticket confirmation as applicable.

Specific commercial terms, including service fees, commissions, ticketing arrangements, voting rates, payment schedules, event dates, deliverables and responsibilities may be contained in a separate Service Agreement, Partnership Agreement, Contract, Proposal or other written agreement between VOTERA SERVICES and the Client.

Where a separate agreement exists, that agreement shall govern the specific commercial relationship between the parties in addition to these Terms and Conditions.

4 Acceptance of Terms

By using the Platform or Services, you confirm that:

  1. You have the legal capacity to enter into these Terms;
  2. The information you provide is accurate and complete;
  3. You will use the Services lawfully;
  4. You will comply with all applicable laws and regulations;
  5. You will not misuse or interfere with the Platform; and
  6. You accept these Terms and Conditions and our Privacy Policy.

5 License to Use the Platform

Subject to these Terms and any applicable Service Agreement, VOTERA SERVICES grants the Client a limited, non-exclusive, non-transferable and revocable right to access and use the Platform solely for the agreed purpose.

You shall not:

  • Copy, reproduce, modify, distribute, sell, lease, sublicense or commercially exploit the Platform without written authorization;
  • Reverse engineer, decompile, disassemble or attempt to obtain the source code of our software;
  • Access systems or accounts that you are not authorized to access;
  • Use automated systems, bots, scripts or other methods to interfere with the Platform; or
  • Use the Platform for any unlawful or fraudulent purpose.

6 Payments

Payments for Services may be made through payment channels made available by VOTERA SERVICES or its authorized payment service providers.

These may include, where available:

  • Mobile Money;
  • Visa;
  • Mastercard;
  • Bank transfers;
  • Payment gateways; and
  • Other approved electronic payment methods.

Payment service providers may have their own terms and privacy policies. Where a payment is processed by a third-party payment provider, the provider's applicable terms may also apply.

VOTERA SERVICES is not responsible for delays, failures, reversals or restrictions caused by a bank, mobile money provider, card issuer, payment gateway or other third-party payment provider, except where such responsibility cannot lawfully be excluded.

7 Voting Fees and Service Rates

Voting fees, ticket prices, platform charges, commissions, service charges and other applicable rates shall be communicated to the Client or displayed on the relevant Platform.

Where applicable, the voting rate may be determined by the Client/Event Organizer in consultation with VOTERA SERVICES.

Unless otherwise agreed in writing, VOTERA SERVICES reserves the right to review or change its service rates with reasonable notice.

8 Ticket Sales

Where VOTERA SERVICES provides ticketing services:

  1. Ticket prices shall be determined by the Client/Event Organizer unless otherwise agreed.
  2. A ticket purchase may be subject to applicable service or processing charges.
  3. Participants are responsible for providing accurate information during ticket purchase.
  4. Tickets may be delivered electronically or through another agreed method.
  5. Tickets may be subject to verification at the point of entry.
  6. A ticket may be cancelled or invalidated where there is reasonable evidence of fraud, duplication, unauthorized resale, chargeback or other prohibited activity.
  7. Event admission remains subject to the rules established by the Event Organizer.

Unless otherwise agreed in writing, VOTERA SERVICES is not responsible for cancellation, postponement, alteration or failure of an event caused by the Event Organizer or circumstances beyond VOTERA SERVICES' reasonable control.

9 Refund Policy

All transactions made through the Platform are subject to review and applicable law.

Unless otherwise stated in a Service Agreement or required by law, payments for voting, ticketing, registration, nomination or other Services may be non-refundable once the relevant Service has been successfully delivered or made available.

A participant or Client may request a refund where:

  • The Service paid for was not delivered by VOTERA SERVICES;
  • A duplicate payment was made;
  • A payment was made in error and is eligible for reversal;
  • A refund is expressly provided for under the applicable Service Agreement; or
  • A refund is required by applicable law.

Refund requests should be submitted through VOTERA SERVICES' official customer support or contact channels and must include sufficient transaction information to enable investigation.

Approved refunds will generally be returned through the original payment method, subject to the policies and processing timelines of the relevant payment provider.

VOTERA SERVICES reserves the right to investigate suspected fraudulent or abusive refund requests before approving any refund.

10 Chargebacks and Payment Reversals

A payment received by VOTERA SERVICES does not necessarily mean that the transaction cannot subsequently be reversed.

Where a payment is reversed, disputed, charged back or reasonably believed to be fraudulent, VOTERA SERVICES may:

  • Suspend or cancel the affected transaction;
  • Suspend the associated account or service;
  • Request supporting documentation;
  • Withhold or recover the affected amount;
  • Cancel tickets associated with the disputed transaction;
  • Take any other lawful action necessary to protect VOTERA SERVICES and its Clients.

Clients may be required to provide receipts, transaction records, delivery evidence or other documentation required to respond to a chargeback or payment dispute.

11 Right to Request a Refund

Nothing in these Terms prevents a customer from exercising any rights available under applicable Ghanaian law or the rules of the relevant payment provider, bank, card network or mobile money service.

VOTERA SERVICES will review legitimate refund requests fairly and in accordance with applicable law and the relevant Service Agreement.

12 Taxes

Unless otherwise stated, the Client or Participant is responsible for applicable taxes, duties, levies or other statutory charges associated with the purchase or use of the Services.

Where VOTERA SERVICES is legally required to collect or remit taxes, such amounts may be added to the applicable fees.

13 Who May Use Our Services

Users must provide truthful and accurate information when using our Services.

Where a particular Service involves contractual arrangements, the person entering into the agreement must have the legal capacity and authority to do so.

Where an event or voting campaign permits persons under the age of 18 to participate, such participation shall be governed by the specific rules of the event and applicable law.

VOTERA SERVICES may restrict or refuse access where it reasonably believes that a user is engaging in fraud, abuse, unlawful conduct, unauthorized activity or conduct that threatens the security or integrity of the Platform.

14 Prohibited Activities

Users must not use the Platform to:

  • Commit or facilitate fraud;
  • Manipulate voting results through unauthorized methods;
  • Use bots, scripts, automated voting systems or other unauthorized technology;
  • Attempt to gain unauthorized access to accounts or systems;
  • Interfere with Platform operations;
  • Upload viruses, malware, worms or malicious code;
  • Impersonate another person or organization;
  • Submit false or misleading information;
  • Violate copyright, trademark, privacy or other intellectual property rights;
  • Conduct unlawful activities;
  • Harass, threaten, defame or abuse others;
  • Distribute spam or unsolicited bulk communications;
  • Circumvent security features;
  • Reverse engineer or tamper with the Platform; or
  • Engage in any activity that may compromise the integrity, security, fairness or reputation of VOTERA SERVICES or its Clients.

15 Voting Integrity and Manipulation

VOTERA SERVICES is committed to providing a reliable and secure voting environment.

Where VOTERA SERVICES detects or reasonably suspects fraudulent, automated, duplicated, manipulated or otherwise unauthorized voting activity, it may investigate and take appropriate action.

Depending on the circumstances, such action may include:

  • Rejecting or removing fraudulent votes;
  • Suspending an account;
  • Restricting access;
  • Cancelling transactions;
  • Referring the matter to the Event Organizer; or
  • Reporting suspected unlawful conduct to the appropriate authorities where required or permitted by law.

VOTERA SERVICES does not guarantee that every attempt at fraudulent activity will be detected.

Final eligibility rules, disqualification rules, judging criteria and declaration of winners remain the responsibility of the Client/Event Organizer unless expressly agreed otherwise in writing.

16 Client Content

Clients may upload Content including:

  • Names and profiles of nominees;
  • Photographs;
  • Logos;
  • Event information;
  • Ticket information;
  • Voting categories;
  • Terms of an event;
  • Promotional materials;
  • Documents; and
  • Other information necessary to provide the Services.

The Client remains responsible for the accuracy, legality and ownership of the Content it submits.

By submitting Content to VOTERA SERVICES, the Client grants VOTERA SERVICES a limited license to host, store, reproduce, display, process and use the Content as reasonably necessary to provide, operate, promote, maintain and improve the Services, subject to the applicable Privacy Policy and Service Agreement.

17 Client Responsibilities

The Client agrees to:

  1. Provide accurate information;
  2. Obtain all necessary permissions, licenses, consents and approvals for its event or campaign;
  3. Ensure that submitted Content does not violate applicable law;
  4. Ensure that nominees and participants are properly informed of applicable event rules;
  5. Keep account credentials secure;
  6. Promptly report unauthorized access;
  7. Pay all agreed fees on time; and
  8. Cooperate with reasonable investigations concerning fraud, payment disputes or security incidents.

18 Confidentiality

VOTERA SERVICES shall take reasonable steps to maintain the confidentiality and security of Client information.

Confidential information shall not include information that:

  • Is publicly available through no fault of VOTERA SERVICES;
  • Was already lawfully known to VOTERA SERVICES;
  • Is independently developed without use of confidential information; or
  • Must be disclosed by law, court order, regulatory authority or other lawful requirement.

19 Privacy and Data Protection

VOTERA SERVICES may collect and process information necessary to provide and improve its Services.

Such information may include account information, contact information, transaction information, voting information, ticketing information, technical information and other information required to operate the Platform.

The collection, use, storage, protection and disclosure of personal data shall be governed by VOTERA SERVICES' Privacy Policy and applicable data protection laws of Ghana.

By using the Services, you acknowledge that you have reviewed and accepted the applicable Privacy Policy.

20 Account Security

Where an account is provided:

  • Users are responsible for protecting usernames, passwords, access codes and other credentials.
  • Users must not share credentials with unauthorized persons.
  • Users are responsible for activities conducted through their accounts, subject to applicable law.
  • Any suspected unauthorized access must be reported to VOTERA SERVICES immediately.

VOTERA SERVICES may suspend an account where it reasonably believes that the account has been compromised or is being used unlawfully.

21 Intellectual Property

All rights, title and interest in the VOTERA SERVICES Platform, software, designs, systems, technology, graphics, logos, trademarks, service marks, content created by VOTERA SERVICES and related intellectual property belong to or are licensed to VOTERA SERVICES unless otherwise stated.

Nothing in these Terms transfers ownership of VOTERA SERVICES' intellectual property to a Client or Participant.

Users may not reproduce, modify, distribute, sell, license, copy or commercially exploit VOTERA SERVICES' intellectual property without prior written authorization.

22 Client Intellectual Property

The Client retains ownership of its trademarks, logos, photographs, documents, event materials and other Content supplied to VOTERA SERVICES.

The Client represents that it has the necessary rights and permissions to provide such Content to VOTERA SERVICES.

The Client shall be responsible for claims arising from Content supplied by the Client that infringes another person's or entity's rights.

23 Third-Party Services

The Platform may integrate with third-party services, including payment providers, hosting providers, communication providers, analytics services and other technology providers.

VOTERA SERVICES does not control all third-party services and shall not be responsible for failures caused solely by third-party providers, subject to applicable law.

24 Service Availability

VOTERA SERVICES will use reasonable efforts to maintain the availability and reliability of its Platform.

However, continuous and uninterrupted availability cannot be guaranteed.

Services may occasionally be unavailable due to:

  • Maintenance;
  • Upgrades;
  • Repairs;
  • Network failures;
  • Power interruptions;
  • Cybersecurity incidents;
  • Payment provider failures;
  • Internet service disruptions;
  • Government or regulatory actions;
  • Natural disasters; or
  • Other circumstances beyond VOTERA SERVICES' reasonable control.

25 Maintenance and Updates

VOTERA SERVICES may update, modify, improve, suspend or discontinue features of its Platform from time to time.

Where reasonably practicable, VOTERA SERVICES will provide notice of significant planned interruptions.

26 Disclaimer

To the extent permitted by applicable law, the Services are provided on an “as available” and “as is” basis.

VOTERA SERVICES does not guarantee that:

  • The Platform will always be available;
  • The Platform will be completely error-free;
  • Every technical problem will be immediately corrected;
  • Every fraudulent activity will be detected;
  • Third-party payment systems will always function;
  • Event results will satisfy every participant; or
  • Services will meet requirements that were not expressly agreed.

Nothing in these Terms excludes liability that cannot legally be excluded under Ghanaian law.

27 Limitation of Liability

To the maximum extent permitted by applicable law, VOTERA SERVICES shall not be liable for indirect, incidental, consequential, special, punitive or exemplary losses arising from the use of the Services.

This includes losses resulting from:

  • Internet or network interruptions;
  • Third-party payment failures;
  • Unauthorized access caused by a user's failure to protect credentials;
  • Event cancellation or postponement by an Event Organizer;
  • Incorrect information supplied by a Client or Participant;
  • Fraudulent activity by third parties; or
  • Circumstances beyond VOTERA SERVICES' reasonable control.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

28 Indemnification

To the extent permitted by law, the Client agrees to indemnify and hold VOTERA SERVICES, its directors, employees, agents, contractors and representatives harmless against claims, losses, liabilities, damages, costs and expenses arising from:

  • The Client's breach of these Terms;
  • Illegal or unauthorized use of the Services;
  • Content supplied by the Client;
  • Violation of third-party intellectual property rights;
  • Fraudulent activity conducted through the Client's account; or
  • Violation of applicable laws or regulations.

29 Changes to These Terms

VOTERA SERVICES may update these Terms and Conditions from time to time.

Updated Terms may be published on the Platform with a revised effective date.

Continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.

30 Suspension and Termination

VOTERA SERVICES may suspend or terminate access to the Services where:

  • The Client breaches these Terms;
  • Fraudulent or illegal activity is suspected;
  • Payment obligations remain outstanding;
  • A court or lawful authority requires suspension;
  • A security threat exists;
  • The Platform is being misused; or
  • VOTERA SERVICES reasonably determines that suspension is necessary to protect its business, Clients, Participants or Platform.

Where appropriate, VOTERA SERVICES may provide reasonable notice before termination.

31 Dissolution of Client Agreements

Where a separate Service Agreement or Partnership Agreement exists, either party may terminate that agreement in accordance with its termination provisions.

Unless otherwise stated in the applicable agreement, either party may provide at least two (2) months' written notice of its intention to terminate an ongoing relationship.

Termination shall not automatically release either party from obligations that accrued before the effective date of termination.

32 Dispute Resolution

The parties shall first attempt to resolve any dispute arising from these Terms or an applicable Service Agreement through good-faith negotiation.

Where the dispute cannot be resolved through negotiation, the parties agree, where appropriate, to attempt mediation before commencing court proceedings.

Nothing in this clause prevents a party from seeking urgent legal or injunctive relief where necessary.

33 Governing Law

These Terms and the relationship between VOTERA SERVICES and its Clients or users shall be governed by the laws of the Republic of Ghana.

Subject to any applicable dispute-resolution or arbitration agreement, the courts of competent jurisdiction in Ghana shall have jurisdiction over disputes arising from these Terms.

34 Force Majeure

VOTERA SERVICES shall not be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, fire, flood, war, civil unrest, strikes, government action, power failures, telecommunications failures, internet outages, cyberattacks, epidemics, pandemics, payment system failures or other events beyond reasonable control.

35 Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue in full force and effect.

36 Entire Agreement

These Terms, together with the applicable Privacy Policy, Service Agreement, Partnership Agreement, Proposal, Contract or other written agreement between VOTERA SERVICES and the Client, constitute the understanding between the parties concerning the Services.

Where there is a conflict between these Terms and a separately signed agreement, the separately signed agreement shall prevail to the extent of the conflict.

38 Acceptance

By accessing or using the VOTERA SERVICES Platform, purchasing a ticket, casting a vote, submitting a nomination, creating an account or entering into a Service Agreement with VOTERA SERVICES, you acknowledge that you have read, understood and agreed to these Terms and Conditions.
